These Terms of Service ("TopGuilds Terms") govern your use of TopGuilds, the public directory of Discord servers at https://topguilds.net, its owner dashboard and the TopGuilds commands of the BotGG bot (together, "TopGuilds").

TopGuilds is part of the BotGG service. These TopGuilds Terms cover what is specific to TopGuilds. Everything else is governed by the BotGG Terms of Service ("BotGG Terms"), which form part of these TopGuilds Terms. Please read both. The BotGG Terms limit our liability (section 20) and describe how disputes are resolved (section 24), to the extent the law allows.

1. Who we are

TopGuilds is operated from Israel under the trading name BotGG ("BotGG", "we", "us", "our"), the same operator as https://botgg.app. TopGuilds shares BotGG's database, billing and Discord sign-in. The operator's full legal details (name, business number and address) are shown on the checkout screen before you pay and on every invoice and receipt, and we give them to anyone who asks in writing at info@botgg.app where the law requires.

2. Accepting these Terms

You accept these TopGuilds Terms, and the documents they incorporate, when you use TopGuilds, sign in with Discord, submit or edit a listing, vote, bump or buy TopGuilds PRO. If you do not agree, do not use TopGuilds.

These documents form part of these TopGuilds Terms:

the BotGG Terms of Service;
the BotGG Acceptable Use Policy;
the BotGG Refund & Cancellation Policy, for paid plans;
the BotGG Copyright & Takedown Policy;
the TopGuilds listing guidelines.

Our Privacy Policy and Cookie Policy explain how we handle personal data on TopGuilds.

If these TopGuilds Terms conflict with the BotGG Terms, these TopGuilds Terms prevail for TopGuilds. Words such as "Server", "Server Owner", "Customer" and "Consumer" have the meaning given in the BotGG Terms.

You can browse TopGuilds without an account. To list a server, vote or bump, you sign in with Discord (OAuth2). We do not create or store passwords. You must meet the age and other requirements in section 4 of the BotGG Terms: in particular, you must be at least 13 years old (or older where your country or Discord requires it), and at least 18 (or have a parent's or guardian's consent) to buy a paid plan.

You are responsible for your Discord account and everything done with it on TopGuilds. We may refuse sign-in to accounts that are blocked from the BotGG service.

4. Browsing and joining servers

Servers listed on TopGuilds are run by third parties. We do not control them, do not endorse them and are not responsible for what happens on them. Listing details, including member and online counts, come from the server owner and from Discord and may be out of date or inaccurate. Joining a listed server is your own decision, at your own risk, and is subject to Discord's terms. If a listing breaks the rules, please report it (section 7).

5. Listing a server

A person who owns a server, or has Discord's "Manage Server" or "Administrator" permission in it, may submit it to TopGuilds. A server can be listed with or without the BotGG bot. To be listed, a server must:

have at least 10 members;
have a permanent (never-expiring) invite that leads to that same server;
not be marked NSFW or age-restricted in Discord, and not contain or promote sexual or adult content;
comply with the Discord Terms of Service, the Discord Community Guidelines, the BotGG Acceptable Use Policy and our listing guidelines.

By submitting a listing, you confirm that you are allowed to list that server and that the server's owner agrees.

6. Your listing and the licence you give us

A listing may contain the server's name, icon, description, tags, languages, links, banner and invite. We add the member and online counts that Discord's public invite information reports, and show whether the BotGG bot is in the server.

You keep ownership of your listing content. You confirm that you have all the rights needed to publish everything in it (including images and trademarks), and that it is accurate, not misleading and lawful.

While the listing is published, you grant BotGG a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and adapt the listing on TopGuilds, in search-engine results and in link previews on social networks and messaging apps. This includes translating interface labels (such as tags and categories) and resizing or converting images. We do not change the meaning of your text. The licence ends when the listing is unlisted or removed, except for copies that third parties (such as search engines) already hold and that we do not control, and for records we must keep (section 11).

7. Review, moderation and reports

Every new listing and every edit is reviewed by our staff before it becomes public. Only the version we approved is shown; while an edit waits for review, the previously approved version stays live. We may approve, reject, hide, remove or ban any listing, or ban a server from TopGuilds, at our discretion, in particular when it breaks these TopGuilds Terms or the documents in section 2, when its invite stops working, or after reports. Where reasonable, we tell you the reason. We are not obliged to list any server.

Anyone can report a listing with the "Report" form, without signing in. The server owner is not told who reported it. We limit how many reports one person can send (one open report per person and server, and at most 5 reports per 10 minutes). Misusing reports to harass server owners is not allowed.

8. Ranking, bumps and votes

Order. Listings are ordered by an automatic score that combines:

bumps (a server can be bumped once every 6 hours);
votes received in the last 30 days;
activity, from the aggregated statistics of the BotGG bot where the server uses it, otherwise from the number of members online;
server size and the share of members online;
freshness of the listing.

We may adjust the weights to keep the ranking fair. Paid plans never change the ranking: TopGuilds PRO and BotGG Pro have no effect on score, bumps or votes. We do not guarantee any position, traffic or number of new members.

Bumps. The owner or a manager can bump a server from the TopGuilds dashboard, or with the /topguilds bump command in Discord where the bot is present.

Votes. Any signed-in Discord user can vote for a server on its TopGuilds page or with the /topguilds vote command in Discord. The rules are:

one vote per server every 12 hours;
the Discord account must be at least 7 days old;
at most 30 votes per hour per user.

9. Fair play

You must not manipulate the ranking, votes, bumps, reports or statistics. In particular, you must not:

buy, sell or trade votes or bumps, or offer or give any reward (in Discord, in a game or otherwise) for voting;
vote or bump with bots, scripts, alternate accounts or accounts you control for others;
automate voting, bumping or the TopGuilds website in any way we do not offer;
organise or take part in coordinated manipulation, such as vote exchanges between servers;
interfere with TopGuilds, scrape it at a load that harms the service, or get around its limits or security.

If we reasonably believe that manipulation has happened, we may remove the affected votes or bumps, reset statistics, hide or remove the listing, ban the server or the accounts involved from TopGuilds, and take the other measures in section 22 of the BotGG Terms. We may act on the server's listing even if the owner did not cause the manipulation, where that is reasonable to protect the fairness of the ranking.

10. TopGuilds PRO

What it is. TopGuilds PRO is an optional paid plan for one server. It currently adds a PRO badge and an accent colour on the server's page, and, when they become available, discovery statistics for the listing. The current features are shown on the PRO page. PRO does not affect ranking (section 8).

Price. TopGuilds PRO costs USD 1.99 per month or USD 19.10 per year, per server. BotGG Pro (USD 4.99 per month per server) includes TopGuilds PRO for the same server. Prices may change as described in section 18.5 of the BotGG Terms. The price, taxes and renewal terms that apply to you are shown at checkout.

Seller and billing. TopGuilds PRO is sold and billed by BotGG through the checkout in the BotGG console (https://console.botgg.app), with PayPal. Sections 18 and 19 of the BotGG Terms and the Refund & Cancellation Policy apply, including automatic renewal and your statutory cancellation rights.

Cancelling. You can cancel at any time in BotGG billing (Billing → Cancel subscription in the console) or as described in the Refund & Cancellation Policy. PRO then stays active until the end of the period you already paid for. Unlisting a server does not cancel its subscription.

11. Unlisting, removal and what happens to your data

Unlisting. You can unlist your server at any time from the dashboard. The public page disappears at once; its address then tells visitors and search engines that the page is gone. Search engines and other third parties may keep showing old copies for some time, which we do not control.

Removal by us. We may remove a listing or suspend your use of TopGuilds as described in sections 7 and 9 and in section 22 of the BotGG Terms.

Data. What we keep after unlisting, and for how long, is explained in our Privacy Policy.

12. Our content and acceptable use of TopGuilds

TopGuilds' software, design, texts, rankings and the TopGuilds and BotGG names and logos belong to BotGG or its licensors (section 7.3 of the BotGG Terms). You may link to TopGuilds pages, including your own listing. You must not copy the directory in bulk, mirror it, or use it to build a competing directory.

13. Liability, law and disputes

TopGuilds is provided "as is" and "as available". Sections 20 (disclaimers and limitation of liability), 21 (indemnification), 22 (suspension and termination), 24 (governing law and disputes) and 27 (general) of the BotGG Terms apply to TopGuilds as if TopGuilds were part of the "Service" defined there. In particular, these TopGuilds Terms are governed by the laws of the State of Israel, and the courts of Tel Aviv-Jaffa have jurisdiction, subject to the protections that the BotGG Terms give Consumers. Nothing in these TopGuilds Terms limits rights that the law does not allow to be limited.

14. Trademarks

"Discord" is a trademark of Discord Inc. TopGuilds and BotGG are not affiliated with, endorsed by or sponsored by Discord Inc. Server names, icons and logos shown in listings belong to their owners.

15. Changes

We may update these TopGuilds Terms. We will publish the new version with its version number and effective date. For material changes we will give at least 14 days' notice, on TopGuilds, in the dashboard or on our support server, as described in section 27.1 of the BotGG Terms. If you do not agree, stop using TopGuilds and unlist your server before the change takes effect.

16. Language

These TopGuilds Terms are written in English, and the English version governs. The Russian and Hebrew translations are provided for convenience. If there is a conflict, the English version prevails, except where the law of your country requires otherwise.
